OAKLEY ? Oakley was alight last Friday and Saturday night for the annual rodeo put on by the Intermountain Professional Rodeo Association and the Oakley Vigilantes as part of the Oakley Pioneer Days Celebration.

The Pioneer Days Rodeo has been going for about sixty years, the same as the Vigilantes organization, according to President Broden Matthews.

?We?ve just tried to keep a group of guys together to keep this thing going,? he said.

?There?s about 10 of us that put this whole deal on.?

?This is the highlight of Oakley. It?s just what we do,? Oakley bronc rider Bailey Bench said.

?It?s probably the best time of the year in Oakley.?

Friday night?s rodeo was held in conjunction with a dance, while Saturday?s performance, which followed the annual parade, was preceded by team penning open only to local families and followed by a patriotic fireworks display.

?We usually get a couple more people to show up for this rodeo than usual,? Bench said.

?I think everybody likes the fireworks and then we?ve got the 10k race and we?ve got the breakfasts and the dinners and all the different events going on at the park?all the dances?anyway it just gets people excited for next year, I think.?

The grand-entry preceding Saturday night?s performance featured a tribute to Robert Manning, a former president of the Vigilantes, who passed away on June 2 in a horse-related mishap.

The Pioneer Days rodeo follows a unique format geared toward giving local participants a chance to shine in front of a hometown crowd.

?We like to get the local kids in here so the people from around town can watch them ride,? Matthews said.?

In addition to novice as well as open categories in the rough-stock events, there was a stock saddle bronc competition.

Aimed at giving working cowboys a chance to show off their skills, the event requires to use working ranch saddles rather than the association bronc saddles usually used in rodeo.

Participants are also allowed to use their free hand and are given some leeway in dress standards, as with wild-cow riding participants.

Saturday?s performance of the wild cow ride was preceded by a Calcutta auction in which audience members bid on participants with the winning bidder for the winning rider claiming the pot paid into by the other winning bidders.

Steve Manning, son of Robert Manning, won the $1000 pot with his $200 bid on his own son, Brady, who won the night with a 77-point ride.

?It?s a neat family atmosphere and it?s kind of cool the things they had this year?with the Calcutta and all of that. And then the fireworks are really neat,? Jason Williams of Twin Falls, who?s wife Karen Marchant Williams is from Oakley.

?That?s one of the highlights for sure.?

?The fireworks is kind of a new addition to try to get more people to come,? Brent Jones, vice-president of the Vigilantes, said.

The Vigilantes seem to have succeeded in that. The stands were packed for Saturday night?s performance and spectators and performers seemed keen to return for another go next year.

As Bench said. ?Come back next year, it?s fun.?

Southern U.S. distillery to legally sell moonshine (Reuters)

CHARLESTON, South Carolina (Reuters) ? Two entrepreneurs are taking advantage of new micro-distillery laws in South Carolina to make and sell traditional moonshine whiskey legally for the first time in the southern state.

The Dark Corner Distillery will open next month in Greenville, where engineer Joe Fenten, 27, and longtime home beer brewer Richard Wenger will produce and sell small batches of 100-proof moonshine from a custom-made copper still.

The distillery, housed in a 1925 building, will also include a tasting bar and a museum dedicated to the history of the Dark Corner, the local mountains that were once full of moonshiners, feud and mayhem, Fenten told Reuters.

The area was settled, along with the nearby Smoky Mountains of Tennessee and Blue Ridge Mountains of North Carolina, by Scots, Irish and Welsh who migrated down through the Appalachian mountain chain from Pennsylvania in the 1700s.

"They thought it was their inalienable, God-given right to make whiskey," said Fenten, a Dark Corner native. "It was a hard life. If you could make an extra 10 cents more for a gallon of whiskey than you could for a bushel of corn, then why not?"

Moonshine traditionally was the term used to describe illegally distilled corn whiskey often made covertly by the light of the moon. The product made at the new distillery will be un-aged corn whiskey, but will be taxed and regulated.

The area came to be called the Dark Corner in 1832 by South Carolina politicians seeking to nullify federal law and who cursed the people of the mountains as Unionists, said Dean Campbell, a Dark Corner native who is the distillery's official historian.

Whiskey taxes after the Civil War and then Prohibition in the 20th century made the place more lawless, Campbell said.

News accounts in the 1920s called the Dark Corner "a little Chicago" because of federal agents' raids on stills, killings, and gun and knife fights that broke out after church, he said.

Illegal moonshine is still being made there, Campbell said. In June, sheriff's deputies busted a still in Landrum, South Carolina, and confiscated 2,000 gallons of illegal white liquor along with $150,000 in cash.

State lawmakers in 2009 altered existing liquor laws in a way that lessened the financial burden on small distilleries, paving the way for the Dark Corner Distillery to set up shop.

Despite the drink's reputation, legal moonshine makers also have popped up in other states, including Oregon, Wisconsin, Montana, Missouri, Kentucky, Tennessee, Virginia, New York and North Carolina.

Sound like a silly question? The sale of a business is usually a big event in the owner?s life, financially, emotionally, and in other respects.? As I noted here, taxes are key to business sales, but who pays them?? Some business owners work for years, decades or even a lifetime and sell a business only once.? Others build and sell multiple businesses, buying or selling every few years.???

Regardless of the form in which you conduct business, proprietorship, partnership, limited liability company (LLC) or corporation, a fundamental question is whether you are selling the stock or assets of the business.? Actually, the ?stock or assets?? question? implies you are operating in corporate form. ?In that case, you could sell the stock or the corporation could sell its assets.?

If the business is operated as an LLC, you could sell membership interests (the units the members of the LLC hold) or the LLC itself could sell its assets.? If the business is operated as a partnership (whether general or limited) the sale could be made by the partnership (a sale of assets).? Alternatively, the partners could sell their partnership interests.

You might think all these avenues lead to the same place, but?they come out differently.? If you sell corporate stock, you are selling a security.? If you sell all the stock, you change who owns it, but the company is still in place and still owns its assets.?

Follow the Money.? The same would be true if you sell a partnership interest or LLC membership interest.? Even if all the owners sell their interests, the entity would still own the assets.? To see the tax differences between these mechanical variations,? follow the flow of money.

If a partnership, LLC or corporation sells assets, the purchase price is paid to the entity.? The entity may or may not distribute the sales proceeds to the shareholders, members or partners.? But whether or not the money is distributed, the payment to the entity will have tax effects.?

To assess it, you?ll need to know the tax basis of the assets in the hands of the entity.? The tax basis is the purchase price the company paid for the assets, less accumulated depreciation, plus certain adjustments.

Example:? Suppose the business entity sells its assets for $5 million.? To determine taxes you need to know the business? basis in these assets.? If its basis is $2 million, there?s a $3 million gain.? If its basis is $6 million, there?s a $1 million loss.? Sometimes this kind of basis is known as ?inside? basis, meaning the tax basis inside the entity.

Depending on the type of business entity, this gain may be taxed to the entity or to the partners or members.? For example, if a C corporation sells its assets for $5 million with a $2 million basis, that $3 million gain will be taxed to the corporation at up to 35%.? That will leave only about $3,905,000 for distribution to shareholders.?

If an LLC or partnership sold the assets for $5 million at a $3 million gain, there is no tax at the entity level.? The full $5 million can pass through to the owners who pay their pro rata share of the $3 million gain.? If you think C corporation treatment is better because the entity pays the tax, think again.?

After all, when shareholders of a C corporation receive distributions from the corporation, they too must pay tax at their individual rates.? Of the $3,905,000 distributed to them,?how much tax they?pay depends on their basis?in their shares and other variables.? But they pay?two levels of tax.? The partners of a partnership or members of an LLC are better off because they only pay one level of tax, not two.?

There is only one level of tax if the business owners sell their interests in a corporation, partnership or LLC.? To determine whether there is gain or loss and how much, you?ll need to know the owner?s basis in the ownership interest.? With an LLC or partnership, this is sometimes referred to as ?inside basis,? to distinguish it from the ?outside? basis that the entity has in its assets.

Logitech?s LifeSize tests price elasticity for video conferencing, By Larry Dignan, Logitech?s LifeSize unit on Wednesday made a series of moves to make a broader play for the corporate video conferencing market. LifeSize acquired an Italian startup to bolster its mobile offerings, launched a cloud service and unveiled an appliance that will bring endpoints to the $999 mark. Logitech did not disclose the price it paid for the privately held company. The three main points are: LifeSize Connections, a service that enables cloud-based videoconferencing; LifeSize Passport Connect, a very small codec/camera to video-enable remote/home offices; LifeSize has acquired Mirial,a developer of PC/smartphone mobile videoconferencing solutions. What does this mean?
